General terms and conditions of Curtaincy.nl hereinafter referred to as "Seller"

1. Definitions:
In these terms and conditions with Seller is meant: Curtaincy.nl
Buyer: the natural or legal person who has placed an order with Seller for the supply of products (curtains) or services (the work of making curtains).
Products: the subject of one or more agreements.

Article 2. General:
These general conditions apply to any offer or quote and to the realisation, content and compliance with all agreements between  Buyer and Seller.
General (purchase) conditions of the buyer do not apply to these agreements, unless expressly and in writing agreed otherwise.
If one or more provisions of these general terms appear to be or is declared null or void, then the remainder of these general terms and conditions will still fully apply. Seller and Buyer shall then discuss in order to agree on new provisions to replace the nullified or voided provisions that take into consideration the purpose and intent of the original provisions to the greatest extent possible.
If a situation arises between the parties that is not covered by these general conditions, then that situation should be assessed ‘in the spirit’ of these general terms and conditions.
If Seller does not strictly observe these general conditions, this does not mean that provisions therein do not apply, or that Seller loses the right to any extent, or otherwise demand strict compliance with the provisions of these general terms and conditions.
Seller reserves the right to modify and / or supplement these general terms and conditions.

Article 3. Quotes and offers:
All quotes (making of curtains) and offers from the Seller are without obligation, unless a deadline for acceptance of the offer (making of curtains) is contained therein. An offer (making of curtains) or quote shall expire if the product to which the offer or the quote relates, becomes unavailable in the meantime.
Seller is not obliged to honour its offers or quotes (making of curtains) containing an obvious mistake or clerical error, which the Buyer can reasonably understand.
If the acceptance (whether or not on minor items) differs from the offer made in the quotation or offer, it will not be binding upon Seller. The agreement is then not made in accordance with this deviating acceptance, unless the Seller indicates otherwise.
A composed quotation does not oblige Seller to perform part of the assignment against a corresponding part of the price quoted. Offers and quotes (making of curtains) do not automatically apply to future orders.

Article 4. Price / Shipping costs:
The prices of all products (including the making of curtains) that can be ordered through the website include Value Added Tax (VAT).
We do not sell curtain fabrics, decorative fabrics, upholstery fabrics, kids fabrics, blackout fabrics that are less than 100 cm in width or height in its full length. These are treated as swatches.
Transport and insurance of goods are charged for the delivery of goods in the United Kingdom.
The prices of goods mentioned on this website are subject to changes for any reason whatsoever. For preparation of shipment, checking and transport you pay a contribution depending on the price of the ordered item. In exceptional cases above 30 kg, we have to charge a higher amount. The corresponding amount will then be communicated to you. Before shipment, all products are carefully packed and thoroughly checked for manufacturing defects and damage.
Article 5. Patterns of made to measure curtains of printed fabrics:
Because the patterns of printed fabrics are not complete in the width, it is not possible to have a continuing pattern. The start of the next strip of fabric will be positioned as much as possible at the back of the pleat. Because the curtains will be pleated, it will not be noticeable.
The patterns are nevertheless made equal in height.

Article 6. Payment and warranty:
Payment must be made when placing your order by transfer to Rabobank account number IBAN NL85 RABO 0150 8976 42 of Curtaincy. We will proceed to delivery once payment is received by Curtaincy. Warranty and complaints will only be processed with the proof of delivery and order confirmation. Natural wear and tear of the used fabrics, such as shrinkage, fading and structural differences in natural materials are not covered by the warranty. Test samples are indicative of weaving and color may differ from the delivered fabric or curtains.However, before shipment, all products are carefully packed and checked for manufacturing defects and damage.

Article 7. Delivery:
Deliveries are only made at physical addresses. Curtaincy therefore does not deliver her products at a P.O. box.
The delivery terms specified by the Seller are indicative. Exceedance of a delivery time does not give the buyer the right to compensation or cancellation.
The delivery of the goods takes place at the time and place at which the products are ready for shipment to the buyer.
Subject to what is stated above in Article 4 of these Terms and Conditions, the Seller will execute accepted orders as soon as possible, but within 30 days at latest. If delivery is delayed either because of (temporarily) being out of stock or for other reasons (such as the extended delivery of fabrics), or if an order cannot or only partially be executed, the buyer will receive a message on this matter after placing the order.
The Seller at all times reserves the right to refuse orders at its own discretion.
Seller is not liable for damages of any kind, caused by incorrect and / or incomplete information supplied by the buyer.
Buyers are required to inform Curtaincy of any change of address. As long Curtaincy has not received a change of address notice, you will be deemed to be residing at the most recently given address, and Curtaincy is not liable if the order is not delivered to the right address.

Article 8. Revocation:
The buyer is obliged to inspect products (or to have products inspected) immediately after delivery.
If the buyer does not wish to accept a product for whatever reason, he or she has the right to return the product within seven (7) days after receipt to Seller, unless this is excluded in the offer. The right of return does not apply to purchases that are specifically cut for an order. The made-to-measure service or tailored work is excluded from this right: cut fabrics. Return shipments are accepted only if the product (in original packaging, being a full roll) is undamaged and unused. Furthermore, the costs of returning the goods are to be paid by the buyer. Costs passed on to the Seller, due to online payments made by the customer related to the returned product (s), are at the expense of the buyer.
After receiving the returned product (s), the order will be cancelled. The already paid amount will be refunded upon cancelation within 30 days to a bank account to be designated by the Buyer. When paid via iDEAL the balance will be reimbursed via Multisafepay (iDEAL payment provider).
Cancellation of ordered goods should always be communicated to the Seller in writing.
Buyer commits him or herself to meeting the return conditions as those prescribed by Seller.
When these conditions are not met, the product remains the property of the buyer and the purchasing amount will not be refunded to the buyer.
Seller is never liable for any damage that may arise to the packaging or to the product on its return shipment.

Article 9. Retention of title:
Ownership of products (curtains, the service of making made-to-measure or tailored curtains)   its actual delivery, will only pass on to the buyer, after all that he is obliged to under any agreement with Seller has completely been met.

Article 10. Intellectual and industrial property rights:
Buyer fully and unconditionally respects intellectual property rights pertaining to the products supplied by Seller. Seller does not guarantee that the products supplied to buyer do not infringe with any (unwritten) intellectual and / or industrial property rights of third parties.

Article 11. Communication:
Seller is not liable for incorrect or delayed sending of ordering details and messages due to the use of the Internet or any other means of communication between Buyer and Seller, or between Seller and third parties, as it relates to the relationship between buyer and seller.

Article 12. Force Majeure:
Without prejudice to other entitled rights Seller has in the event of force majeure the right, at Seller’s sole discretion, to tuspend the execution of an order or to terminate an agreement without judicial intervention. Seller will inform Buyer on this in writing, without Seller having any obligation to pay any compensation.
Article 13. Conformity:
The buyer has the obligation to inspect whether the products meet the agreement. If this is not the case, buyer needs to notify seller on this matter in writing within one calendar week. After the expiry of this term, buyer is deemed to have accepted the goods.

Article 14 Collection, transport, unloading:

Seller shall be free to choose the means of transportation of the goods to be supplied, unless agreed otherwise or unless Buyer arranges for the collection of goods at Curtaincy. If, regardless of the agreed means of transport, the goods to be supplied to Buyer are ready for collection and Seller has informed the customer thereof, Buyer shall collect the goods within a reasonably shortest period of time possible after having been informed.
If Seller arranges the transportation of the goods to be supplied, Buyer is obliged to ensure that the vehicle or other means of transport is unloaded as quickly as possible, after arrival at the agreed destination.
If Buyer fails to fulfil any of the obligations stated in the previous two paragraphs, Seller shall be entitled to store the goods for the account and risk of Buyer, or to hold the goods in storage for the account of Buyer, without Buyer being entitled to tuspend payment of the agreed price.
Article 15. Applicable law:
Agreements between Seller and Buyer shall be governed by the law of the Netherlands only, the applicability of the UN Convention on Contracts for the International Sales of Goods “CISG” is expressly excluded.
All disputes will be only submitted to the competent court in Arnhem.
